Our TMT practice spans the spectrum of telecommunications and multimedia, information technology and e-commerce sectors along with competition law, data protection and cybersecurity matters through our strategic alliance with SK Chambers, a leading competition legal practice, representing a host of clients, from major telecommunications companies to infrastructure service providers as well as venture capital funds, private equity investors and corporations, both foreign and local, who are involved in the technology and e-commerce space.

In the technology space in particular, we have also equipped ourselves with a broad knowledge of laws, regulations, technology, business models and market standards required to advise on the legal, commercial and regulatory compliance implications of digital fintech services, digital insurance, information and communication technology (ICT), blockchain and nonfungible tokens (NFTs). Overview

The wake of the 2008 global financial crisis brought with it changes, among them increased disclosure requirements aimed at improving transparency whilst banking and financial systems were rebuilt. These changes included an increased focus on environmental, social and governance (ESG) risks in relation to the demand for investments yielding both adequate financial returns as well as a long-term positive impact on the community and environment.

Subsequently, the Securities Commission Malaysia (SC) introduced in 2014 its Sustainable and Responsible Investment (SRI) Sukuk Framework (“SRI Framework”) to facilitate and encourage sustainable and responsible investing, which also required compliance with ESG standards.

Our Overarching Approach

Our firm has always been quick to identify and understand risks involved in the projects, energy and infrastructure sector and project financing. We take an overarching approach in our advice to clients in identifying ESG matters and other risks, and how to manage such risks in compliance with applicable standards and regulations, inclusive of the SRI Framework, the ASEAN Green Bond Standards issued by the ASEAN Capital Markets Forum, which are based on the International Capital Markets Association’s (ICMA) Green Bond Principles.

  • Quantum Solar Park’s 2017 issuance Of Green SRI Sukuk of up to RM1 Billion to fund the construction of 3 large solar power plants with a total capacity of 150 MW, the (then) largest green Sukuk in the world of RM1 billion (US$241.53 million), the generation capacity of which would assist Malaysia towards achieving its renewable energy generation target by 2020;
  • Tadau Energy’s issuance of RM250 million Sukuk Wakalah in 2017, the world’s first green Sukuk which greatly facilitated Malaysia’s position as a key driver in the green Islamic financial market and paved the way for more sustainable and responsible financing in Malaysia, in compliance with the SRI Framework and the ASEAN Green Bond Standards;
  • PR1MA Corporation Malaysia’a RM5 billion combined Islamic medium term notes programme and syndicated revolving credit-i facility established in 2017 and guaranteed by the Government of Malaysia – this is a social impact deal, whereby PR1MA is mandated to build 500,000 homes for moderate income Malaysians, one of the first transactions focusing on housing needs for underserved Malaysians;
  • Pasukhas Green Assets’ RM200 million issuance of Sukuk Wakalah/Murabahah in 2019, the first issuance of ASEAN Green SRI Sukuk pursuant to the ASEAN Green SRI Sukuk program, the objectives of which are consistent with the eligibility requirements of the SRI Framework, as well as the ASEAN Green Bond Standards – this deal demonstrates the issuer’s commitment to contributing to the nation to reduce its dependence on power generated using fossil fuels;
  • the RM5.75 billion financing to Infracap Resources (a Sarawak State funding vehicle) for 11 specific development state projects throughout Sarawak, on the credit strength of the Sarawak State Government, which projects include the Northern Coastal Highway (Limbang/Lawas road) and Kuching Urban Transportation System – the issuance is compliant with ESG principles as prescribed under the United Nations Global Compact;
  • the RM500 million Sustainable Sukuk financing to SME Bank to fund its ESG initiatives such as entrepreneurial training and job creation, which was the first ESG issuance from a Malaysian Development Finance Institution;
  • CIMB Investment Bank’s issuance of senior/subordinated Islamic medium term notes of up to an aggregate amount of RM1.5 billion whereby the notes were to be issued in compliance with (a) the SRI Framework; (b) the ASEAN Green Bond Standards; (c) the ICMA’s Green Bond Principles; and (d) such other guidelines or frameworks or standards in relation to green bonds issued from time to time;
  • advised various Malaysian entities in their bids to develop and construct waste to energy facilities;
  • advised on the acquisition of an entity involved in carbon credits offset and trading with solar and wind assets; and
  • advised on emission reduction purchase agreements in relation to renewable energy projects.

Structured finance is another one of our key strengths and we advise on all aspects of structured finance, including securitisations, quasi-securitisations, structured products and derivatives. We are among the few firms to have advised on asset-backed securitisations (ABS) in Malaysia.

Our Pioneering Experience

Our firm was fortunate enough to be involved in one of the earliest ABS transactions in Malaysia, namely, the collateralised bond obligations securitisation undertaken by CBO One Berhad. Between the years 2001 and 2008, in particular, the securitisation market in Malaysia grew rapidly leading to securitisations being undertaken in relation to various asset classes, and with varying degrees of complexity. As demand for ABS transactions grew, our team was appointed to advise on several market-firsts.

In doing so we have acted as advisors to both domestic and foreign parties in respect of substantial developments of land and industry and are acquainted with the principles and procedures applicable to a variety of scenarios, including land acquisition and its attendant requirements, land reclamation, the issue and alienation of land titles, the survey, subdivision and realienation of land by state authorities, conditions and restrictions of interest on land titles and joint development of lands with state or local authorities.

Our Deal Experience:

Our team had originally advised on the landmark acquisition by Tan Sri Lee Shin Cheng (of major plantation-based corporation IOI Group) in 1989 of 27,880 hectares from Dunlop Estates, comprising 154 plots of land on which 13 estates, 2 mills, 2 factories and a research station were situated. More recently, our team has advised and negotiated on a number of specialist real estate transactions including:

  • the joint development of over 110 acres of land in Melaka with a gross development value of about RM480,000,000, which development included the construction and sale of residential units, retail units, hotels, service apartments, office towers, commercial shops and offices;
  • the sale and transfer of iconic national landmark structures in central Kuala Lumpur between the holding company and its group real estate investment trust;
  • the sale and purchase of a five-star international hotel and hotel business in the centre of Kuala Lumpur;
  • the approval and establishment of Malaysia’s first Shariah compliant privately owned Real Estate Investment Trust;
  • complex land issues in the listings of significant listed property development companies and palm-oil plantation companies, involving some 350,000 hectares of land held under more than 1,200 titles;
  • the development of two (2) tower blocks in the centre of Kuala Lumpur comprising one (1) block of high end corporate offices and one (1) block of internationally branded serviced residences;
  • the acquisition by Tower Real Estate Investment Trust of Menara Guoco at Damansara City, a mixed development comprising a hotel, residence, office towers, shopping malls and car park to the value of RM242 million; and
  • the disposal by Permodalan Nasional Berhad of industrial land in Selangor to the local subsidiary of a Hong Kong company to the value of approximately RM110 million.

  • the USD800 million Sustainable Sukuk Wakalah financing to the Government of Malaysia, issued through its SPV Issuer, Malaysia Wakala Sukuk Berhad, the world’s first Sovereign US Dollar Sustainability Sukuk issuance whereby proceeds will be used for eligible social and green projects aligned to the United Nation’s Sustainable Development Goals (SDG) Agenda. This deal has won the Islamic Finance News Wakalah Deal of The Year Award 2021.
